Yes. We work as part of our client's team when doing a financing, acquisition or sale. This work always requires a strong commitment from all of the team members. CFA devotes resources to each client on the basis of doing whatever it takes to get the work successfully done. Our reward for this work is, to a large extent, based on the completion of the project. Working as an exclusive member of the team ensures that the goals of the team members are all aligned and there are no restrictions on how to complete the work.
How do Corporate Finance Advisors get paid?
Typically most of our compensation for financing, mergers, acquisitions and divestiture work is based on a success fee paid on completion of the transaction. However, part of this fee is payable as a non-refundable work fee or retainer at the commencement of the assignment. Depending on the nature of the work, fees may also be structured on a per diem basis. We seek to develop an ongoing relationship with clients, usually as a retained adviser.
CFA has a long track record of successfully completing our work. The transactions reported on the transaction page represent a small sample of transactions we have recently completed. We strongly believe that a history of completed transactions is the best indicator of how effective an investment banker will be in completing a client's transaction. For what companies will CFA provide services?
CFA provides services for select private and publicly held companies located in or looking to establish operations in North America and Europe. While our clients can operate in any industry sector, we have emphasized high-tech, bio-tech, resources, manufacturing, distribution and logistics industries.
In selecting our clients, we place a great deal of weight on the strength and credibility of the management team and a lesser emphasis on the size of the anticipated transaction. Our goal is to develop long term relationships with our clients.
What is EBITDA?
EBITDA is a short form for "Earnings Before Interest Taxes Depreciation and Amortization". It is a widely used "quick" measure of cash flow from operations, before changes in working capital and capital investments.
